Use Phoenix responsibly, respect other people’s work and make your own business decisions. Applying is free. Membership, payments and any business transaction require their own agreement.
01Who operates Phoenix
Phoenix Startups LLC is a limited liability company organized in Wyoming, United States. In these Terms, “Phoenix,” “we,” “us” and “our” mean that company. Our community is based in Santa Monica, California, and is launching globally. That community location does not change the company’s Wyoming organization.
These Terms govern the Phoenix Startups website, its Framework and research content, free startup calculators and planning worksheets, application and interview tools, chapter applications, meetup interest forms and related services we provide under these Terms. “You” means the individual using those services and, where that individual is authorized to act for an organization, that organization.
02Eligibility and agreement
Applications, interview bookings, research download requests and club participation are intended for people aged 18 or older who can enter a binding agreement. You must provide accurate information and have permission to provide any information relating to another person or organization.
When a form asks you to accept these Terms, checking the agreement box and submitting the form records your acceptance of the version presented. Do not submit if you do not agree. You can read, save and print these documents before agreeing. Electronic acceptance has the effect allowed by applicable law; it does not remove any mandatory right to a particular form of notice or agreement.
The Membership Agreement adds rules for applications and participation in the club. A specific written membership offer may add agreed commercial terms. The Privacy Policy explains how personal information is handled; acknowledging it is not consent to every possible use of your information.
03Applications, interviews and availability
Applying for membership is free. An application, interview booking, chapter director application, meetup interest submission or research download does not by itself create paid membership, confirm admission or authorize a charge.
Applications are reviewed. The 15-second application description is an estimate of the time needed to complete the short form, not a guarantee that every applicant will finish in that time. Membership interviews are scheduled for 15 minutes, subject to availability. We may need to reschedule an interview or correct a booking error and will use the contact details you provide to coordinate.
Chapter locations and meetup formats shown on the website may be proposed or in development. An expression of interest is not a confirmed event reservation. We may update, suspend or discontinue free tools and content for operational, safety or legal reasons. Agreed paid benefits and mandatory consumer rights remain subject to the relevant membership offer and applicable law.
04Using our content and research
Phoenix and its licensors retain their rights in the website, brand, original writing, diagrams, Framework and other protected materials. Subject to these Terms, you may access the website, download reports through authorized access, use them for your own learning or internal business purposes, and link others to our public pages.
You may quote reasonable extracts from Phoenix’s original public research with clear attribution to Phoenix Startups and the named author, a link to the relevant page and the original context preserved. Any broader reproduction, commercial redistribution, resale, republication or use of our branding requires written permission unless a legal exception or a separately stated license applies. Do not imply that Phoenix or the author endorses you, your product or your investment.
Research cites third-party publications and data. Those underlying materials remain subject to their owners’ rights and license conditions. Our permission cannot grant rights we do not own. Attribution does not replace permission where permission is required, and nothing in these Terms restricts a use independently permitted by applicable law.
05Your information and intellectual property
You retain ownership of the intellectual property in your business, ideas and materials you submit. You give Phoenix a nonexclusive permission to receive, store, reproduce and use those materials only as reasonably needed to review your request, operate the requested service, communicate with you, administer participation and comply with legal obligations. Service providers may process them for those purposes on our behalf. Personal information is handled as described in the Privacy Policy.
Submitting an application does not authorize us to publish your pitch, use your name as an endorsement or transfer ownership of your work. Separate permission or an applicable legal basis is required for an additional use. Only submit material you have the right to share. Do not include passwords, government identification numbers, payment credentials, sensitive customer records or trade secrets in website forms.
General applications and introductions do not create a separate nondisclosure agreement with Phoenix or another participant. Agree any additional confidentiality terms before sharing commercially sensitive information.
06Responsible use
Use the services lawfully and in a way that respects the safety, privacy and rights of others. You are responsible for the accuracy of your statements, the content you provide and keeping any application or download access link private.
- Do not impersonate another person, misrepresent credentials, fabricate business or impact claims, or submit fraudulent applications.
- Do not harass, threaten, discriminate against, exploit or unlawfully solicit other participants.
- Do not publish another person’s private information, disclose confidential material without authority, infringe intellectual property or send unsolicited bulk messages.
- Do not introduce malware, probe or bypass security controls without permission, interfere with availability, evade access limits or use automated collection that disrupts the service or unlawfully collects personal information.
- Do not sell access to the club or research access links, or claim to represent Phoenix without written authority.
07Business, research and investment decisions
Content, conversations, introductions, charts and calculators are provided for general information and discussion. They are not individualized investment, legal, tax, financial, medical or other regulated professional advice. No website material is an offer to sell a security or a solicitation to buy one.
The free startup calculators and planning worksheets run in your browser using the inputs and assumptions you choose. Their outputs are planning estimates, not accounting records, approved prices, valuations, credit assessments or evidence of customer demand. Check the stated assumptions and include any costs, timing differences or obligations relevant to your business.
Research draws on identified sources and stated methods; it can contain limitations, estimates, scenarios or errors and may become outdated. The Framework is an operating model for discussion and application, not a validated guarantee of business performance. Evaluate the evidence, check current primary sources and obtain qualified advice where your decision requires it.
The $1B+ ecosystem circulation statement is a long-term ambition, not an achieved result, a forecast, a valuation or a promise of funding or returns. Illustrative circulation calculations are scenarios, not verified transactions or measures of new wealth or social impact. Phoenix does not guarantee investment, customers, introductions, partnerships, revenue, admission or any other outcome.
Members, investors, founders, speakers and other participants act independently. You must conduct your own diligence and agree the terms of any transaction directly with its parties. Phoenix is not a party, agent, broker, investment adviser or guarantor for a participant’s transaction merely because an introduction or discussion occurs through the community.
08Third-party services and links
Links to external research, websites, venues or services are provided for convenience and context. The relevant third party controls its own content, terms and privacy practices. A reference or link does not establish a partnership, endorsement or verification of every claim.
A separate service provider or event organizer may impose terms that apply to its service. Review those terms before using it. Phoenix remains responsible for its own obligations under applicable law and does not use this section to exclude responsibility that cannot lawfully be excluded.
09Service limitations and warranties
We aim to provide useful and accurate services, but do not promise uninterrupted availability, error-free content, security against every threat or suitability for a particular business purpose. To the extent permitted by law, free website content and tools are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose or noninfringement.
This disclaimer does not override an express commitment we make in a written agreement, a statutory guarantee, a right to reasonable care and skill or any other protection that applicable law does not allow us to exclude.
10Limits on liability
To the extent permitted by applicable law, Phoenix is not liable under these Terms for indirect or consequential loss, lost profit, lost business opportunity or loss of anticipated savings arising from your use of the services. To that same extent, Phoenix’s total liability for claims arising from these Terms or the services is limited to the greater of US $100 or the fees you paid to Phoenix for the services giving rise to the claim during the 12 months before the event giving rise to it.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence where liability cannot be limited, or any liability, remedy or consumer right that cannot lawfully be excluded or restricted. If your jurisdiction does not permit a particular exclusion or limit, that provision applies only to the extent permitted there.
11Suspension and ending use
You may stop using the website at any time. Contact us to withdraw an application, cancel an interview or request help with your information. Membership cancellation is addressed in the Membership Agreement and any agreed membership offer.
We may restrict access where reasonably necessary to address a material breach, fraud, a security threat, harm to others or a legal requirement. Where appropriate and lawful, we will explain the reason and offer a reasonable opportunity to respond or correct the issue. Urgent protective action may be taken first. This does not remove any paid-service remedy or mandatory right you hold.
Provisions that by their nature need to continue after use ends, including intellectual property, confidentiality obligations, liability limits and dispute provisions, continue to the extent applicable.
12Changes to these Terms
The effective date identifies this version. We may update these Terms to reflect changes to the services, legal requirements or our operations. We will post the revised version and its effective date and provide reasonable notice of material changes through the website or available contact details, as appropriate.
Changes apply prospectively. We will request fresh agreement where required for a material change and will not treat a new posting as consent to a retroactive change or an unrelated use of personal information. If you do not accept a change that requires agreement, you may stop using the affected service; existing paid commitments and mandatory rights will be handled under the applicable agreement and law.
13Governing law and resolving concerns
Please contact info@phoenixstartups.club first if you have a concern so we can try to resolve it. This is an invitation to resolve issues, not a requirement to delay a claim or miss a legal deadline.
These Terms are governed by Wyoming law, without its conflict-of-law rules, except that mandatory protections of the law that applies to you remain available. Subject to those protections, courts with competent jurisdiction in Wyoming may hear disputes arising from these Terms. If mandatory consumer law allows you to bring a claim in another jurisdiction or requires a different court, that right is preserved.
These Terms do not impose binding arbitration, waive a right to participate in a class action or limit your ability to contact a regulator or public authority.
14General provisions and contact
These Terms, the applicable Membership Agreement and any separately agreed service terms form the agreement for their respective subject matter. A specific signed or expressly accepted offer controls a conflict concerning the commercial terms it expressly addresses. No provision changes another agreement unless the parties clearly agree to that change.
If a provision is unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions continue. A delay in enforcing a provision is not a waiver. Neither your use of the service nor a club relationship creates a partnership, employment, joint venture or authority to bind Phoenix.
