01The community and this agreement
Phoenix Startups is a private community for impact-driven founders and investors operated by Phoenix Startups LLC, a Wyoming limited liability company. The community is based in Santa Monica, California, and is launching globally.
This agreement establishes the baseline rules for applying to and participating in the community. Application-stage obligations apply when you expressly agree to them through an application. Membership begins only after Phoenix accepts you in writing and you accept any separate membership offer that applies. Submitting a form or attending an interview does not activate membership.
The Terms of Service also apply to the website and related tools. The Privacy Policy describes personal information practices. A separately agreed written offer will identify any membership package and its commercial terms.
02Applying and interviewing
You must be at least 18 years old, able to enter a binding agreement and accurate about your identity, role, work and intentions. If you apply on behalf of an organization, you must have authority to share its information and make the representations you provide.
Applying is free. The short application is designed to take approximately 15 seconds; completion time varies. You may then select an available 15-minute interview. We may ask for relevant follow-up information to understand your work, assess fit or protect the community.
Phoenix reviews applications against the purpose, conduct standards and practical capacity of the community, subject to applicable law. Application, interview participation or a referral does not guarantee admission. If your circumstances or contact details change, let us know.
03Acceptance and membership details
An acceptance or membership offer will describe the participation being offered. Before any paid commitment, we will disclose the price, included benefits, membership duration, payment timing, taxes where relevant, renewal arrangements, cancellation method and refund conditions. You must expressly agree to those terms before a charge is authorized.
There is no membership charge or automatic renewal authorized by submitting a website application, booking an interview, registering event interest or accepting this baseline agreement. A research download is not an enrollment in a paid plan.
Membership benefits depend on the offer you accept and the stage of the community’s launch. Do not rely on a proposed chapter, future gathering, aspirational benefit or informal conversation as a confirmed paid entitlement unless it appears in your agreed offer. Any material change to agreed paid benefits will be handled under that offer and applicable law.
04Club membership is not company ownership
The words “member” and “membership” describe participation in the Phoenix Startups club. They do not make you a member or owner of Phoenix Startups LLC under limited liability company law, grant equity, voting rights or profit distributions, or create a right to direct the company.
Membership does not create a partnership, joint venture, agency, fiduciary relationship or employment relationship between you and Phoenix or another participant. You cannot bind Phoenix, use its name as an endorsement or represent that you speak for the club without written authorization.
05Participation and conduct
The value of the community depends on participants acting honestly, respecting different perspectives and being responsible for their commitments. Participation must comply with applicable law, this agreement and reasonable event-specific rules provided in advance.
- Be truthful about your business, impact, credentials, investment activity and commercial interests. Disclose a material conflict of interest when it is relevant to a conversation or recommendation.
- Treat people with respect. Harassment, threats, unlawful discrimination, exploitation, retaliation and intimidation are not permitted.
- Ask before making an introduction or sharing someone’s contact details. Respect a refusal and do not send unsolicited bulk pitches or repeatedly solicit someone who has declined.
- Keep your commitments, communicate changes promptly and give credit for other people’s work.
- Do not use the community to facilitate fraud, unlawful fundraising, market manipulation, money laundering or another unlawful activity.
- Raise safety, misconduct or confidentiality concerns with Phoenix through the contact at the end of this agreement.
06Confidentiality and permission
Do not disclose another participant’s nonpublic business or personal information when it is marked confidential or the circumstances reasonably make its confidentiality clear. Use it only for the purpose for which it was shared. Ask permission before forwarding a pitch, publishing an identifiable discussion, recording a session or using someone’s name, image or comments publicly.
This obligation does not cover information that is lawfully public, already known to you without a duty of confidence, independently developed without using the confidential information, or lawfully received from another source without a confidentiality restriction. A legally required disclosure is permitted; where lawful and practicable, give the affected person notice and disclose only what is required.
Community rules do not substitute for a transaction-specific nondisclosure agreement or professional privilege. Share only what you are authorized and comfortable to disclose, and agree additional protections before discussing trade secrets or sensitive diligence materials. Nothing here prohibits protected reporting to a regulator, law enforcement or another authority.
07Your work remains yours
You retain ownership of your business, ideas and intellectual property. Participation does not transfer ownership to Phoenix or another member. If you provide materials for a specific club activity, you give Phoenix only the permission reasonably necessary to administer that activity, subject to the Terms of Service and any separate agreement.
Collaborations, advisory work, referrals, employment, investments, co-development and commercial projects need their own written terms between the relevant parties. Agree ownership, confidentiality, compensation, responsibilities and the right to use each other’s names before work begins.
08Introductions, investment and outcomes
Phoenix provides a setting for relationships, discussion and shared learning. Membership does not guarantee access to a particular person, introduction, investor, funding round, customer, contract, job or business result. Members choose independently whether to meet, collaborate or transact.
Phoenix does not recommend a security or verify the merits of every participant or opportunity merely by admitting someone, sharing research or arranging a conversation. Club discussions are not individualized investment, legal, tax or other regulated professional advice. Conduct your own diligence and use qualified advisers where appropriate.
Any transaction is the responsibility of its parties, including any regulatory, tax, disclosure and professional requirements. Phoenix does not hold participant funds, negotiate an investment or act as your broker, investment adviser, agent or guarantor merely through membership. Any separately offered regulated or commercial service would require its own appropriate agreement.
The $1B+ ecosystem circulation goal is a long-term ambition. It is not a record of achieved circulation, promised investment capacity, a forecast or a return commitment.
09Chapters and chapter director applications
A city on the map or a chapter director application may represent a proposed chapter. It does not confirm an operating chapter or appoint an applicant. Virtual and in-person activities depend on local interest, capacity and confirmed arrangements.
A chapter director or other leadership role requires separate written approval and an agreement describing the role, authority, responsibilities and any compensation or expenses. Applying or helping informally does not create employment, an agency relationship, a franchise, authority to collect money or permission to bind Phoenix.
Do not organize an event in Phoenix’s name, use its branding as an authorized chapter, make commitments for the company or collect dues on its behalf without express written authorization.
10Gatherings, access and safety
Submitting meetup interest tells us what you would like to attend. A gathering is confirmed only when its organizer provides the date, format, location or access details and any applicable registration terms. A separate ticket, venue or organizer agreement may apply to a particular event.
Follow reasonable venue, accessibility, security and safety instructions. Behave responsibly and avoid exposing others to foreseeable harm. Contact us in advance with access needs or an accommodation request so arrangements can be discussed; availability depends on the event and applicable legal obligations.
Events may be changed or canceled for practical, safety or legal reasons. Any paid event’s cancellation and refund terms must be disclosed before purchase, and mandatory rights remain available. This agreement is not a blanket waiver of injury claims or of an organizer’s legal responsibilities.
11Personal information and community communications
We use the information you provide to review applications, coordinate interviews, administer requested participation and communicate about those activities as described in the Privacy Policy. A submission is not automatically a public member profile or permission to give every participant your contact details.
Optional marketing choices remain separate from necessary communications about your application, booking or membership. You may withdraw a marketing choice without withdrawing a privacy request or forfeiting a statutory right. Do not collect, export or use other participants’ personal information without appropriate authority.
12Withdrawing, canceling and ending participation
You may withdraw an application or ask to end your membership by emailing info@phoenixstartups.club. Identify the application or membership using the email address you used, and tell us what you want to change. A paid offer’s cancellation process and any renewal deadline must be disclosed before you agree to it.
Phoenix may decline an application or suspend or end participation for a material breach, serious misconduct, fraud, a safety or security risk, or a legal requirement. We will act reasonably and consistently with applicable law. Where appropriate, we will explain the concern and provide a reasonable opportunity to respond or correct it; urgent protective action may come first.
For paid membership, any cancellation, suspension or termination will be handled under the agreed offer and applicable law, including mandatory refund, notice and consumer rights. This baseline agreement does not establish a blanket no-refund rule, an undisclosed cancellation fee or a right to retain payment for benefits that must legally be refunded.
Ending participation does not transfer your intellectual property or erase confidentiality duties that appropriately continue. Retention or deletion of personal information is addressed in the Privacy Policy.
13Changes and other applicable terms
We may update this agreement prospectively and will identify the new effective date. Material changes will receive reasonable notice, and fresh agreement will be requested where required. A new posting will not silently authorize a charge, remove accrued rights or retroactively change an agreed transaction.
The Terms of Service contain the applicable service disclaimers, liability limits, governing law and dispute provisions, each subject to mandatory legal protections. Nothing in this Membership Agreement requires arbitration, waives class participation or removes a consumer right that cannot lawfully be waived.
14Contact and concerns
Contact Phoenix Startups LLC at info@phoenixstartups.club for application questions, membership cancellation, accommodation requests or conduct concerns. Include enough detail for us to understand the issue, and avoid sending sensitive personal or commercial information that is not necessary.
